This End-User Licence Agreement (the "Agreement" or "Licence") is a legal contract between you either as an individual or as an organisation, business or corporate entity, and MobileRota Ltd (the "Company").

READ THE TERMS AND CONDITIONS OF THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING OR ACTIVATING THE MOBILEROTA SOFTWARE OR ANY ASSOCIATED FILES (the "Software").

THE SOFTWARE IS COPYRIGHTED AND IT IS LICENCED TO YOU UNDER THIS AGREEMENT, NOT SOLD TO YOU. BY DOWNLOADING OR ACTIVATING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, THAT YOU UNDERSTAND IT, AND THAT YOU ACCEPT AND AGREE TO BE BOUND BY ITS TERMS. IF YOU ARE NOT WILLING TO BE BOUND BY THE TERMS OF THIS AGREEMENT, YOU SHOULD CLICK THE "I DO NOT ACCEPT" BUTTON BELOW, TERMINATE THE DOWNLOAD PROCESS, AND REFRAIN FROM ACCESSING OR USING THE SOFTWARE. THIS AGREEMENT REPRESENTS THE ENTIRE AGREEMENT BETWEEN YOU AND MOBILEROTA LTD CONCERNING THE SOFTWARE, AND THIS AGREEMENT SUPERSEDES AND REPLACES ANY PRIOR PROPOSAL, REPRESENTATION, OR UNDERSTANDING YOU MAY HAVE HAD WITH THE COMPANY RELATING TO THE SOFTWARE.

1. Scope of Use
   1. You may install and use this Software for personal, non-commercial use only, for the subscription period specified at the time of purchase, subject to payment of the licence fee.
   2. You may install and use this Software on a single device (e.g. mobile phone, PDA, PC). If you have purchased multiple Licences you may install and use the Software on as many devices as you have purchased Licences.
2. Restrictions
   1. You may not use, copy, transfer or distribute the Software or any part of it except as expressly permitted by this Agreement.
   2. You may not modify, adapt, merge, translate, decompile, disassemble, or reverse engineer the Software.
   3. You may not use the Software for any illegal, unlawful or immoral purposes.
3. Term
   1. The subscription period for this Licence begins from the purchase date.
   2. 1. The subscription period for this Licence ends after the time period specified at the time of purchase (usually 1000 calendar months). Should the phone set, number or software be changed or modified and the application lost then a charge of £1.99 will be payable in order to receive the MobileRota application again.
   3. This Licence will end automatically if you breach any of the terms.
   4. All provisions of this Agreement excepting the grant of Licence (Section 1) shall survive the termination of this Agreement, regardless of the cause for termination, and shall remain valid and binding indefinitely.
4. Liability
   1. The Software is licensed 'as is' and the Company disclaims any and all other warranties, whether express or implied, including warranties of merchantability or fitness for a particular purpose, to the extent authorised by law.
   2. In no event will the Company or any of its Directors, Contributors or Agents be liable to you for any loss or damage of any kind, including but not limited to loss of earnings, profit or goodwill or other consequential loss arising from the use or inability to use the Software or from errors or deficiencies in the Software.
5. General
   1. All copyright and other intellectual property in the Software belong to and vest in MobileRota Ltd.
   2. The rights granted in this Licence are non-exclusive.
   3. This Licence does not affect your statutory rights as a consumer.
   4. This Licence is governed by and interpreted in accordance with English Law and parties submit to the exclusive jurisdiction of the English Courts.
   5. If any term or condition of this Licence is declared void or unenforceable, that part will be construed to reflect the parties' original intent and this shall not affect the validity of the remaining terms and conditions.
   6. The failure of either party to enforce any rights granted herein shall not be deemed a waiver by that party as to subsequent enforcement of rights or subsequent actions in the event of future breaches.
